1. Introduction

These Terms & Conditions govern the use of services provided by Unified Atlantic Productions ("Company," "we," "our," or "us").

By engaging our services or using our website, you agree to these Terms.


2. Services

Unified Atlantic Productions provides recurring creative production services including but not limited to:

- Video production

- Photography

- Creative direction

- Advertising content creation

- Social media content systems

- Brand strategy

- Post-production

- Campaign development

All services are governed by a written proposal or agreement outlining deliverables and scope.


3. Monthly Retainer Structure

3.1 Recurring Billing

Services operate under a monthly retainer model.

Payment is collected automatically on a recurring monthly basis.

Billing occurs on the same calendar date each month unless otherwise agreed in writing.

3.2 No Deposits

Because services operate under a recurring structure:

No separate deposits are required.

The first month’s payment secures production scheduling and service activation.


4. Term & Commitment

Unless otherwise specified in writing:

Retainers require a minimum commitment period (recommended: 3 months).

After the minimum term, services continue month-to-month.


5. Scope of Work

Each retainer includes a defined scope of deliverables.

Examples may include:

X number of shoots per month

X number of edited videos

X number of ad creatives

Strategic consulting sessions

Any work outside the agreed scope will be billed separately.

Scope increases require written approval.


6. Overages & Additional Services

If the Client requests services beyond the monthly retainer scope:

Additional services will be invoiced separately.

Overages are billed at an agreed hourly or project rate.

Production requiring external costs (models, studio, travel, etc.) must be pre-approved.


7. Late Payments & Suspension

Payments not received within 5 days of the billing date may result in service suspension.

Production, editing, and delivery may be paused until payment is resolved.

Continued non-payment may result in contract termination.


8. Cancellation & Termination

8.1 Notice Period

After the minimum commitment period:

A 30-day written notice is required to cancel services.

Cancellation does not waive outstanding payments.

8.2 Early Termination

If client terminates before minimum commitment:

Remaining balance of the commitment term may become due.


9. Intellectual Property & Content Rights

9.1 Ownership

All final deliverables become licensed to the client upon full payment of the applicable monthly fees.

Unified Atlantic Productions retains the right to:

Use content for portfolio

Use content for marketing

Showcase work in case studies

Unless otherwise agreed in writing.

9.2 Raw Footage

Raw footage remains property of Unified Atlantic Productions unless specifically purchased or licensed.


10. Client Responsibilities

Client agrees to:

Provide timely communication and approvals

Deliver necessary brand assets

Secure location and talent permissions

Ensure supplied materials do not infringe third-party rights

Delays caused by client may shift production timelines.


11. Production Limitations

We are not responsible for delays or interruptions caused by:

Weather

Equipment malfunction

Illness

Venue cancellation

Government restrictions

Force majeure events

In such cases, production will be rescheduled in good faith.


12. Performance Disclaimer

While we implement proven content and advertising systems:

We do not guarantee specific revenue results unless explicitly stated in a signed agreement.

Marketing performance depends on multiple external variables beyond our control.


13. Limitation of Liability

To the fullest extent permitted by law:

Unified Atlantic Productions shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed the total fees paid in the preceding 30 days.


14. Confidentiality

Both parties agree to keep confidential business information private unless disclosure is required by law.


15. Governing Law

These Terms are governed by the laws of the State of Texas, United States.

Any disputes shall be resolved in Texas courts.


16. Modifications

Unified Atlantic Productions reserves the right to modify these Terms at any time. Continued use of services constitutes acceptance of updated Terms.
